Submission and License Agreement

This GoNEproject Submission and License Agreement (the Agreement) sets forth the entire understanding between you and the GoNEproject. Please read this document carefully; by clicking the "I Agree" button below, or by submitting your original song lyrics for inclusion in the GoNEproject, you will become a party to, and will be bound by, this Agreement.

1. Ownership of Materials

You shall retain full ownership of your materials, which may include, but are not limited to: musical compositions, pictures, song lyrics, and other related materials ("Materials") at all times, while granting to GoNEproject a non-exclusive, world-wide, royalty-free license to publicly perform, publicly display, publish in print and digital form, and synchronize with videos and images the Material, in whole or in part (including the right to create compilations and synchronizations which include the Material with other material). By accepting this Agreement and/or submitting your Materials, you are guaranteeing that you are of legal age to enter into contracts in your jurisdiction (and in any event you have reached 18 years of age) and have all rights, approvals and/or consents necessary to submit your Materials on the terms provided herein. You also guarantee that no permission is required from any other individual or company for the use of your Materials and other rights provided herein. You further guarantee that the compositions, lyrics, artwork and other materials contained in your Materials are original, created solely by you, do not contain any excerpts from any copyrighted material or the material of others, and do not otherwise infringe on the rights of any other individuals or companies. You also further guarantee that the content of your Materials does not and will not violate any other applicable laws, including without limitation those pertaining to defamation, libel or obscenity. You shall be fully responsible for any violation of your agreements including the guarantees made under this paragraph and you shall indemnify us from any damages and costs, including reasonable attorney's fees, arising from your breach.

2. Termination

You have the right to terminate this agreement at any time by notifying us in writing. We agree to terminate this agreement within two days of our actual receipt of such notice. GoNEproject will remove any of your Materials from our site and database within a reasonable period of time, upon receipt of your written request for such removal. GoNEproject will not be responsible for any copies of your Materials that may have been disseminated prior to the removal of your Materials from our system.

3. Copyright Notice

All content included on the Geektones and GoNEproject websites, such as song lyrics and musical compositions, text, graphics, logos, button icons, images, audio clips, and digital downloads, is the property of GoNEproject or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this site is the exclusive property of GoNEproject and protected by U.S. and international copyright laws.

4. No warranty

We provide our products and services related to this agreement "AS IS"without warranty of any kind.

5. Miscellaneous

A. In the event of any dispute concerning this Agreement, Wisconsin law shall apply and all legal proceedings, if any, shall take place in state or federal courts sitting in Dane County, Wisconsin. You waive any jurisdictional, venue or inconvenience forum objections to such courts. No agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement.

B. If any provision of this Agreement shall be held void, invalid or inoperative, no other provision of this Agreement shall be affected as a result thereof, and, accordingly, the remaining provisions of this Agreement shall remain in full force and effect as though such void, invalid or inoperative provisions had not been contained herein. The headings and captions used herein are inserted for convenience of reference only and shall not affect the construction or interpretation of this Agreement.

C. Any notices sent to GoNEproject shall only be deemed given if and when actually received by GoNEproject by email to doug@geektones.com or in writing at 3218 Topping Road, Madison Wisconsin, 53705

D.GoNEproject shall not be deemed to be in breach of any of its obligations hereunder unless and until it shall have been given specific written notice by certified or registered mail, return receipt requested (in accordance with subparagraph c. above), of the nature of such breach and it shall have failed to cure such breach within thirty (30) days after receipt of such written notice.
